ChatbotCard Indemnification Policy

Effective Date: August 2, 2026

This Indemnification Policy explains your responsibility to protect Nyla Technologies LLC from claims arising from your use of the ChatbotCard platform, products, services, AI features, NFC cards, QR codes, and related offerings.

1. Your Agreement to Indemnify

You agree to defend, indemnify, and hold harmless Nyla Technologies LLC, its owners, employees, contractors, affiliates, licensors, successors, and agents from any claims, damages, liabilities, losses, costs, expenses, and reasonable attorneys' fees arising from or relating to your use of the Services.

2. Claims Covered

Your violation of our Terms of Service or other policies.
Your uploaded content, AI knowledge bases, PDFs, images, videos, or other materials.
Your infringement of another person's intellectual property or privacy rights.
Your misuse of ChatbotCard products or services.
Your violation of any applicable law, regulation, or governmental requirement.
Fraudulent, deceptive, or unauthorized activities performed using your account.

3. Cooperation

You agree to reasonably cooperate with us in defending any covered claim and to provide requested information relating to the matter.

4. Right to Assume Defense

Nyla Technologies LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. Your indemnification obligations will continue regardless of whether we assume the defense.

5. Survival

Your indemnification obligations survive termination of your account, cancellation of subscriptions, or discontinuation of your use of the Services.
